Terms of service

These Terms of Use (“Terms of Use”) apply to the websites, mobile applications (“Apps”), and other interactive features and online services (collectively, the “Services”) owned or operated by ALDI, Inc. (“ALDI”). In these Terms of Use, “we” and “our” refer to ALDI. Unless otherwise stated, all references to “you” or “your” in these Terms of Use refer to all users of the Services.

Please read these Terms of Use carefully before using the Services, as they affect your legal rights and obligations. You acknowledge that you have the capacity and authority to agree to these Terms of Use.

Arbitration Notice: Except for certain types of disputes described in the “Arbitration” section below, you and ALDI agree that any dispute between you and ALDI will be resolved through a binding personal arbitration, and you waive your right to participate in a class action or class arbitration.

These Terms of Use constitute a binding agreement between you and ALDI governing your use of our Services. When you use specific Services or Service features, in addition to these Terms of Use, you may be subject to separate guidance documents, payment terms, or end-user license agreements (“Additional Terms”). In the event of any conflict between these Terms of Use and any supplementary terms, the supplementary terms shall prevail unless otherwise expressly provided in the supplementary terms. By accessing or using any part of the Service, you agree to these Terms of Use and any applicable supplementary terms.

Your use of the Service is also governed by our terms.

1. Changes to these Terms of Use

ALDI reserves the right to change, modify, add to, or delete any part or all of these Terms of Use at any time by updating this page. We may also notify you through other means, such as the contact information you provide. Unless otherwise specified, any changes will take effect immediately upon posting of the revised terms. Please check back periodically for changes. Your continued use of the Service (or other actions specified by ALDI) after the effective date of the revised terms constitutes your consent to these changes to the fullest extent permitted by applicable law.

2. Third-Party Features and Functionality; Third-Party Terms

Some content, features, and functionality in this Service may be owned and operated by third parties (collectively, “Third-Party Providers”). If stated, such content, features, and functionality (collectively, “Third-Party Content”) may be subject to separate terms and conditions and privacy policies. In this case, you acknowledge that your use of Third-Party Content will be governed by the terms of use and privacy policies provided by such Third-Party Providers. You acknowledge that we are not liable for any actions or omissions of Third-Party Content or Third-Party Providers, and any claims or other grounds for action you may bring regarding any of the foregoing shall be directed against the respective Third-Party Provider and not against us. The inclusion of any links in this Service or the granting of access does not imply any affiliation or endorsement by us with respect to the linked websites, applications, or content. This Service may also allow you to share content from this Service with third parties, which may be publicly published on those third parties’ websites or applications and will therefore be subject to those third parties’ terms of service and privacy policies. You access Third-Party Content at your own risk.

We also maintain pages and accounts on social media websites such as Facebook, TikTok, Google Ads, Pinterest, Twitter, and YouTube (collectively, “Social Media Channels”). When you submit information to us through our social media channels, you will be bound by these Terms of Use and any other privacy policies and terms of use applicable to each social media channel. If there is any conflict between these Terms of Use and the privacy policies or terms of use of the relevant social media channel, you shall comply with and be bound by these Terms of Use, but only to the extent that you submit information to us through the social media channel. You acknowledge that we are not liable for any content, functionality, or feature offered by the social media channels, or for any action or omission of the social media channels, and any claim or other grounds for action that you may bring regarding any of the foregoing shall be directed against the owner or operator of the social media channel, and not against us.

3. Service License

Subject to your compliance with these Terms of Use, ALDI grants you a limited, personal, non-exclusive, non-commercial, revocable, and non-transferable license to access and use the Service on any device you own or control, for non-commercial purposes only. You are responsible for taking all reasonable precautions to ensure your health and safety when using the Service. The information on this Service is for informational purposes only and is used solely for ALDI's services.

ALDI reserves the right to update, modify, replace, or change all or part of the Service at any time without any liability to you. You acknowledge and agree that ALDI may, at its sole discretion, discontinue the operation of the Service or certain features within the Service at any time without any liability to you.

4. Use of Materials in the Service

Unless otherwise expressly stated, all materials, content, or information on this Service (including, but not limited to, text, design, graphics, trademarks, logos, service marks, icons, data, images, audio clips, advertising copy, past, present, and future versions of the Service, domain names, interfaces, source code and object code, and software, and their selection and arrangement) (collectively, the “Service Content”) are the exclusive property of ALDI, its licensors, or its content providers and are protected by copyright, trademark, and other applicable laws, regulations, rules, and treaties. Unauthorized use, copying, and distribution are prohibited. You may access, copy, download, and print the materials, content, or information contained in this Service for personal and non-commercial purposes, provided that you do not modify or remove any copyright, trademark, or other proprietary notices appearing on the materials, content, or information you access, copy, download, or print. Without ALDI's prior written consent, you are strictly prohibited from using any material, content, or information in the Service in any other way, including but not limited to modifying, distributing, transmitting, performing, broadcasting, publishing, uploading, licensing, reverse engineering, transferring, or selling, or creating derivative works based on any material, content, information, software, products, or services obtained from the Service, or using the Service for purposes that compete with ALDI. The foregoing prohibitions expressly include, but are not limited to, using any part of the Service content to train or otherwise incorporate it into large language models, artificial intelligence technologies, or other machine learning tools, products, services, or features. You agree to comply with all other restrictions displayed on the Service, which may be updated from time to time. ALDI reserves the right to refuse or cancel any person's account (as defined below), remove any person from the Service, or prohibit any person from using the Service for any reason. You agree that ALDI may revoke a license to the Service content at any time in its sole discretion. ALDI makes no warranties or representations that your use of the material, content, or information in the Service will not infringe the rights of any third party unrelated to ALDI.

Any unauthorized use of the Service content is prohibited.

You may not use the contact information provided in the Service for unauthorized purposes, including marketing. You may not use any hardware or software designed to disrupt or interfere with the proper functioning of the Service, or in any way secretly intercept any systems, data, or personal information from the Service. You agree not to interrupt or attempt to interrupt the operation of the Service in any way. ALDI reserves the right to restrict or terminate your access to or use of all or part of the Service at any time in its sole discretion, with or without prior notice. Termination of your access or use shall not constitute a waiver or effect of any other rights or remedies available to ALDI under law or equity. Upon such termination or suspension, your right to use the Service will immediately cease, and you must cease using the Service. All provisions of these Terms of Use that are of a continuing nature, including but not limited to the proprietary terms, disclaimers, limitations of liability, and dispute resolution provisions, shall continue to be in effect upon termination or expiration of these Terms of Use.

5. Accuracy, Completeness, and Timeliness of Service Information

ALDI is not responsible for inaccurate, incomplete, or untimely information provided in the service. The service content is for general reference only and should not be the sole basis for decision-making. You should consult more authoritative, accurate, complete, or timely information sources. You use the service content at your own risk. The service may contain some historical information. Historical information is not necessarily up-to-date and is for your reference only. We reserve the right to modify the service content at any time, but we have no obligation to update any service content. You agree to be solely responsible for monitoring changes to the service.

6. Product and Service Images and Descriptions

We will strive to accurately describe and display the functionality of all products and services in the service; however, we do not guarantee that all product descriptions, photos, prices, or other information in the service are accurate, complete, up-to-date, or completely error-free. Furthermore, product descriptions or images in the service should not be construed as an endorsement of such products. We may change the service at any time without notice. The colors you see depend on your monitor, and our descriptions often rely on information provided by others. Furthermore, while we strive to ensure the accuracy of the information, the information in the Service may contain typographical errors or other human mistakes, and may be incomplete or outdated. All weights and dimensions are approximate values. If the product provided by the Service does not match the description, your only remedy is to return it, but it must remain unused.

7. Promotional Activities

This Service may include or offer sweepstakes or other promotional activities, which may be subject to separate rules detailing the specifics of the sweepstakes or promotion and may include eligibility requirements such as age or geographic restrictions. It is your responsibility to read these rules to determine if your participation, registration, or application is valid and to understand the specific requirements the organizer has for you regarding the relevant sweepstakes or promotion.

8. Use of the Service

You agree that when using the Service or submitting any materials, content, or information to the Service, you will not:

Access data not owned by you, or log in to servers or accounts used without authorization;
Circumvent or modify, attempt to circumvent or modify, or assist others in circumventing or modifying any security technology or software that is part of the Service;
Interfere with the Service to any other user, or interfere with the software, network, or systems we use to provide the Service to you, such as by submitting viruses or overloading the Service, "flooding," "spam," "mail bombs," or "crashing";
Modify, alter, or create other works based on the Service or its materials, content, or information, or distribute copies of such materials, content, or information, or publicly perform or display such materials, content, or information, such as by publishing the materials, content, or information on any networked computer, or on any Distributing materials, content, or information on or through any media, including any decompiling, reverse engineering, or otherwise attempting to obtain the source code, underlying ideas, algorithms, methods, technologies, structures, or organization of the Service, and prohibiting any third party from doing so (whether or not for your benefit); Removing all copyright and other proprietary notices; Using or attempting to use any engine, software, tool, agent, or other device or mechanism (including, but not limited to, any type of web crawler, web crawler, or bot) to browse, search, and/or extract information from the Service, or using any part of the Service to train or otherwise incorporate it into large language models, artificial intelligence technologies, or other machine learning tools, products, services, or functions; the above prohibitions do not include uses related to the search tools provided on the Service and other commonly used third-party web browsers (e.g., Netscape Navigator, Microsoft Explorer); Transmitting or distributing any material containing malware, viruses, bots, worms, or any other computer code, files, or programs that may interrupt, disrupt, or limit the functionality or operation of the Service; Using the Service in a manner that violates any and all applicable laws, rules, or regulations; Not mortgaging, sublicensing, renting, leasing, or creating derivative works based on the Service (including its user interface).

Without our written consent, neither you nor any third party acting on your behalf may frame Service content or use our proprietary markings as meta tags. These markings include, but are not limited to, ALDI's logos and trademarks. Without ALDI's express written consent, you may not use frames or any framing technology to embed any material, content, or information contained in the Service. Furthermore, without ALDI's express written consent, you may not use any Service content in any meta tags or any other "hidden text" technology. The source code and object code of the Service constitute ALDI's trade secrets and may not be accessed, viewed, or shared except as permitted by law.

You agree to comply with all copyright notices, information, or restrictions contained in any part of the Service. Except for the rights expressly granted to you in these Terms of Use, ALDI or its licensors reserve all rights to use the Service. Nothing in these Terms of Use will in any way affect, impair, or limit ALDI's right to fully utilize any or all Service content. Any breach of these Terms of Use or unauthorized use of any information, content, or material displayed or provided on the Service may violate copyright, trademark, privacy, and image rights laws, and other laws and regulations, and may result in ALDI terminating your access to the Service at its sole discretion. We are not liable for any loss or damage resulting from your failure to comply with these Terms. You represent and warrant that any information you provide to us is accurate, up-to-date, and complete, and that you will maintain and update your information in a timely manner to ensure its accuracy, up-to-dateness, and completeness. If any information you provide to us is untrue, inaccurate, incomplete, or outdated, we reserve the right to terminate your use of the Service. If your employment relationship with ALDI terminates, your access to the Service as an ALDI employee will also automatically terminate.

9. User Account

Some Service features may require you to register an account (“Account”). By registering, you agree to provide true, accurate, up-to-date, and complete personal information. If you create an account through a third party operating part of the Service, that third party’s Terms of Use and Privacy Policy may also apply to your use of that account, in addition to these Terms of Use and our Privacy Policy.

Registering an account requires you to set a password and comply with ALDI’s password guidelines. You may not share, sell, distribute, or otherwise transfer your account, nor allow any other person to use your login credentials. You are responsible for maintaining the confidentiality of your account and password (including any related security questions and answers) and restricting access to the computer or other devices you use to access your account. You agree that you are fully responsible for any activities or operations performed using your account, whether or not they are authorized by you. You should notify us immediately if your account login credentials are used without authorization. Unless ALDI receives further notice, ALDI may assume that any communications it receives using your account credentials were sent by you. When using the Service, you must take all reasonable steps to ensure that others cannot access the Service using your account login credentials, including (but not limited to):

Enabling security lockout (PIN code, Touch ID, facial recognition, etc.) on any non-shared/non-public device you use to access the Service;
Ensuring that your account login credentials are not stored on any device (including PCs) to prevent others from accessing the Service without knowing your account login credentials;
Ensuring that any device used to access the Service runs a legally obtained operating system and is maintained to the manufacturer's specifications (i.e., you must not use "jailbroken" or "rooted" devices).

10. User-Submitted Content

This Service may offer you the opportunity to create, customize, and share content through certain features. ALDI welcomes your comments and suggestions regarding our Service. However, you acknowledge that if you send, publish, or submit any suggestions, ideas, comments, photos, videos, recipes, or other user-generated content (collectively, “Submissions”) through this Service or in connection with this Service (including interactive features of this Service such as product reviews, recipe exchanges, message boards, or third-party social media platforms, through your use of promotional tags designated by ALDI, or otherwise), you grant ALDI a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, create derivative works based on, and publicly perform, display, and distribute such Submissions—and, in accordance with our Privacy Policy, allow ALDI to use your name, likeness, and other identifying information (if any) that you may provide in connection with the Submissions—through any existing or future-developed media, for any purpose, without restriction, and without paying you any compensation in any way. You hereby waive all moral rights you have in this submission, to the maximum extent permitted by law, even if the submission is modified or altered in a manner you do not approve of. You agree that this license and waiver will automatically take effect upon your submission to ALDI (without requiring any further action from you). You acknowledge and agree that any user submissions you provide, submit, or otherwise disclose while using the Service may become visible, accessible, and disclosed to ALDI or other persons in accordance with our Privacy Policy.

You understand and agree that you are solely responsible for the content submitted, regardless of how it is submitted. By submitting content, you represent and warrant to ALDI that: (1) your submission is not confidential and that you own the content or have obtained all necessary permission to submit it; (2) your submission (whether used alone or in combination with other content) does not infringe, misappropriate, or violate any third party's rights, including but not limited to any intellectual property rights, publicity rights, privacy rights, or any other proprietary rights. You will indemnify ALDI for any claims arising out of or in connection with the content you submit to the Service.

You may not submit to us any of the following: content that you are legally prohibited from sharing or disclosing to us; content containing product or service ideas from which you intend to profit; or content containing information that you wish to keep confidential. All submissions will be considered non-confidential and non-proprietary, and to the maximum extent permitted by applicable law, we are not responsible for any use or disclosure of submitted content. You acknowledge and agree that there is no confidentiality, trust, or other special relationship between you and ALDI, and that your decision to submit any content will not place ALDI in a different position from members of the general public, including with respect to your submissions. You agree and understand that we have no obligation to publish, retain, or use your submissions.

ALDI has no control over the content submitted through this Service and therefore does not guarantee the accuracy, completeness, quality, or legality of such content. If you choose to submit any personal information through this Service or in connection with this Service, you do so at your own risk.

We have no obligation to monitor the Service or any content submitted through the Service. However, you acknowledge and agree that we have the right to monitor the Service and/or the content you submit and/or publish, and have the right (but not the obligation) to delete, edit, move, or disable all or part of any such content before or after its publication on the Service. ALDI reserves the right to suspend or terminate your access to the service at any time. Under no circumstances shall we be liable for any content, including but not limited to any errors or omissions in the content, any loss of your submitted content, or any loss or damage of any kind arising from any user-submitted content.

11. Acceptable Use Policy

As a user of this Service, you are responsible for all your communications and the consequences of their publication. Therefore, you agree not to engage in any of the following activities on this Service, including but not limited to submitting, uploading, or otherwise providing any content to this Service:

You may not publish or distribute copyrighted material unless you are the copyright owner or have obtained permission from the copyright owner;

You may not publish or transmit any material, including but not limited to submitting content, without the permission of all persons who are involved in or own any rights to the material in any way, or who are otherwise present in the material. Upon our request, you shall provide any necessary documentation, certification, or authorization to verify your compliance with these Terms.

You may not send material that discloses trade secrets unless you own the trade secret or have obtained permission from the owner;

You may not send content that infringes upon the intellectual property rights, privacy rights, or publicity rights of others. Please do not add personal information to any content you post, upload, or transmit, and do not provide personal information that you do not wish to share publicly through this service; Do not send false or fraudulent material; Do not send illegal, harmful, offensive, threatening, abusive, defamatory, libelous, harassing, vulgar, obscene, profane, hateful, fraudulent, explicit, racially discriminatory, ethnically discriminatory, or other objectionable or harmful material; Do not send any material that violates the law, promotes any illegal activity or violence, or describes how to commit violence. If you upload, add, or post any illegal, violent, or other inappropriate material, we reserve the right to take any action we deem appropriate at our sole discretion, including but not limited to reporting you to law enforcement; Send commercial advertisements or promotional messages; Send chain letters, pyramid scheme messages, political propaganda, or spam; Send material containing viruses or other malicious software; or impersonate someone else.

If you feel your safety is threatened or believe that someone else is in danger, contact your local law enforcement agency immediately.

12. Linking Policy

ALDI grants you a revocable license to link to this Service; however, any link to this Service shall not: (a) frame or surround any content on this Service, or otherwise mirror any part of this Service; (b) imply that ALDI or this Service endorses or sponsors any third party or its products or services, unless ALDI has given its prior written consent to such third party; (c) provide false information about ALDI or its products or services, or otherwise (at ALDI's sole discretion) harm ALDI or its products or services; (d) use any ALDI trademarks without ALDI's prior written permission; (e) contain any content that may be deemed offensive, offensive, controversial, or otherwise objectionable (at ALDI's sole discretion); and (f) be owned and controlled by you or the individual or entity placing the link, or otherwise allow you to enable such a link in accordance with these Terms of Use. By linking to this Service, you agree that you will comply with the above linking requirements now and in the future. Notwithstanding anything to the contrary in these Terms of Use, ALDI reserves the right, at its sole discretion, to block links to this Service for any reason.

13. Digital Millennium Copyright Act (“DCMA”) Infringement Notification

ALDI encourages you to report any content on the Service that you believe infringes your rights. Only the intellectual property owner or their authorized representative can report potentially infringing content. If you believe that content on a Service infringes your copyright, trademark, or other intellectual property rights, please follow these steps.

Under the Digital Millennium Copyright Act of 1998 (“DMCA”), ALDI has appointed an agent to receive copyright infringement notices and to follow the DMCA’s notification and removal procedures. If you believe your work has been copied in a manner constituting copyright infringement, please provide ALDI's copyright agent with the following information required under the DMCA's Limitation of Liability Act on Online Copyright Infringement (17 USC 512): (a) a handwritten or electronic signature of a person authorized to act on behalf of the allegedly infringed proprietary rights holder; (b) an identification of the infringed copyrighted work, or, if a notice covers multiple copyrighted works on the same site, a representative list of such works on that site; (c) an identification of the material allegedly infringing or constituting the subject of an infringing activity, along with information sufficient to allow us to locate that material; (d) reasonable information sufficient to allow us to contact the complainant; (e) a statement from the complainant that they have reason to believe that the use of the material in the manner allegedly infringed was not authorized by the copyright holder, their agent, or by law; and (f) a statement from the complainant that the information in the notice is accurate and a guarantee that, under penalties for perjury, the complainant is authorized to act on behalf of the allegedly infringed proprietary rights holder.

If you believe any content on this Service infringes upon your rights other than copyright, please provide ALDI with at least the following information: (a) a handwritten or electronic signature of a person authorized to act on behalf of the owner of the allegedly infringed proprietary rights; (b) an identification of the material allegedly infringing or constituting the subject of an infringing activity, along with sufficient information to allow us to locate that material; (c) an explanation of your rights and why you believe the content infringes upon your rights so that we can assess your complaint; and (d) your accurate contact details.

We have a policy for terminating the accounts of repeat infringers (in our reasonable judgment). It is often difficult to determine whether your intellectual property has been infringed or whether it meets the requirements of the Digital Millennium Copyright Act (DMCA). We may request more information from you before removing any infringing content. If a dispute arises regarding the rightful ownership of the relevant rights, we reserve the right to remove your content and the content of the alleged infringer until the dispute is resolved.

If your product is removed due to a third-party complaint alleging that you have infringed their intellectual property rights, ALDI will notify you.

14. Special Terms for App Users

General

You acknowledge and agree that the availability of the application depends on the third party (e.g., the Apple App Store or Google Play Store) from which you obtain a license for the application (“App Store”). You acknowledge that these Terms of Use are an agreement between you and us, and not between you and the App Store. We, not the App Store, are solely responsible for the service (including the application and its content, maintenance, support services, and related warranties) and for handling any related claims (e.g., product liability, legal compliance, or intellectual property infringement). To use the application, you must have access to the internet, including, in some cases, wireless network services. You agree to pay all costs associated with such access. You also agree to pay all fees (if any) charged by the App Store for the service (including the application). You agree to comply with all applicable third-party agreement terms (e.g., the App Store’s terms and policies), and your permission to use the application depends on your compliance with those terms. You acknowledge that the App Store (and its subsidiaries) are third-party beneficiaries of these Terms of Use and have the right to enforce these Terms of Use.

Accessing and Downloading Apps from Apple

The following applies to any app accessed or downloaded through the Apple App Store (“Apple-sourced apps”):

Confirmation by the Parties. You acknowledge and agree that: (1) these Terms of Use are solely between you and ALDI (or any third-party developer who owns or operates the app), and not with Apple Inc. (“Apple”); (2) ALDI, and not Apple, is responsible for the app and its content provided by Apple.

Scope of License. Your license to use an Apple-sourced app is non-transferable and is limited to use on Apple-branded products that you own or control, and is subject to the usage rules set forth in the Apple Media Services Terms and Conditions.

Maintenance and Support. You acknowledge that Apple has no obligation to provide any maintenance or support services for the app provided by Apple.

Warranty Terms. If an app provided by Apple fails to comply with any applicable warranty terms, you may notify Apple, and Apple will refund the price you paid for the app. To the maximum extent permitted by applicable law, Apple assumes no other warranty obligations for the app. Between ALDI and Apple, ALDI shall be solely responsible for any other claims, losses, liabilities, damages, costs, or expenses arising from failure to comply with any warranty terms.
Product Claims. You and ALDI acknowledge that, between ALDI and Apple, Apple shall not be responsible for handling any claims made by you or any third party concerning Apple-provided applications or your ownership and/or use of Apple-provided applications, including but not limited to: (i) product liability claims; (ii) any claims concerning Apple-provided applications' non-compliance with any applicable laws or regulatory requirements; and (iii) claims made under consumer protection or similar laws.
Intellectual Property. You and ALDI acknowledge that, if any third party claims that Apple-provided applications or your ownership and use of Apple-provided applications infringe upon that third party's intellectual property rights, ALDI, not Apple, shall be solely responsible for investigating, defending, settling, and resolving any such intellectual property infringement claims, but to the extent required by the Terms of Use.
Legal Compliance. You represent and warrant that: (i) you are not in any country subject to a European government embargo or designated by a European government as a “supporter of terrorism”; (ii) you are not on any list of prohibited or restricted transactions by a European government.

Third-Party Terms. When using applications provided by Apple, you must comply with any applicable third-party agreement terms (e.g., your wireless data service agreement).

Third-Party Beneficiaries. You and ALDI acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of these Terms of Use in connection with your obtaining the App licenses provided by Apple, and that Apple will have the right (and will be deemed to have accepted that right) to enforce these Terms of Use against you as a third-party beneficiary;

Without limiting the other terms of these Terms of Use, you must comply with all applicable third-party agreement terms when using Apps provided by Apple.

15. Consent to Receive Electronic Communications

You agree that we may communicate and transact with you electronically through the Service or other electronic means, and that by registering an account with ALDI, you agree to the above terms.

16. Text Message Communications and Push Notifications

By providing your mobile phone number to ALDI, you understand that ALDI may still contact you using the phone number you provide, even if you have previously withdrawn your consent to ALDI using that phone number to contact you, or have requested to be added to a state, federal, or any internal "Do Not Call" list. ALDI may use automated dialing systems, automated selection or dialing systems, systems that play pre-recorded messages, or pre-recorded or synthesized voice messages to send text messages, multimedia messages, or text messages ("SMS communications") to the number you provide. If ALDI suspends or terminates your account, we may delete your submissions, history, and other information, and prohibit you from continuing to use our Services. You understand that we assume no responsibility for any suspension or termination, including deletion of submissions.

All provisions of these Terms of Use that, by their nature, should remain in effect upon termination, including but not limited to the proprietary terms, disclaimers, limitations of liability, and dispute resolution provisions, shall remain in effect upon your termination of access to the Service.

25. Binding Arbitration (Arbitration Agreement)

Scope of the Arbitration Agreement. You agree that any dispute or claim relating to your access to or use of the Service, these Terms of Use, or any relationship between you and ALDI shall be settled by binding arbitration, not litigation, except in the following circumstances: (1) you may bring action in the Small Claims Tribunal if your claim is eligible for its jurisdiction, provided that the case is brought in that tribunal and is conducted solely on a personal (not collective, not representative) basis; (2) you or ALDI may seek equitable relief in court for any infringement or misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents). You agree that you must bring any arbitration or other claim within one (1) year of the occurrence of the dispute, otherwise such claim will be permanently barred, meaning you will no longer be entitled to bring a claim in respect of the dispute. This Arbitration Agreement applies to all claims arising or made prior to the effective date of these Terms of Use or any previous version of this Arbitration Agreement, without limitation.

By agreeing to arbitrate with ALDI, you agree in advance not to participate in or seek any monetary or other relief in any class action, joint action, and/or representative action brought against any party to ALDI and brought in your name. Instead, by agreeing to arbitration, you may file claims individually against any party to ALDI (except for batch arbitrations as described below). If your claim is successful, the arbitrator may award you monetary or other relief. You acknowledge that you have been advised that you may consult with an attorney when deciding whether to accept this Agreement (including this Arbitration Agreement).

The interpretation and enforcement of this Arbitration Agreement shall be governed by the Federal Arbitration Act.

Procedure. To file a claim, you must first send a letter detailing your claim, including your name and contact details, your legal assertion, and the specific facts giving rise to the claim. Your letter must include the date and amount of any relevant transactions or interactions with us, and the relief you are seeking. This letter must be sent to: ALDI, Inc., Recipient: Legal Department, 1245 Corporate Blvd., Aurora, IL 60505. You and we agree to attempt to resolve your claim through informal negotiation in good faith. If a settlement cannot be reached within sixty (60) days, you may initiate arbitration proceedings as described herein. In accordance with the rules of the arbitration body, your request for arbitration must clearly identify the claimant, the claimant's legal claims, and the specific relief requested, and, if submitted by legal counsel, must be accompanied by proof of the claimant's explicit authorization to submit the request for arbitration. The arbitration will be conducted by JAMS (a well-established alternative dispute resolution body). Unless otherwise agreed between you and ALDI, the arbitration will take place in Cook County, Illinois.

Claims and counterclaims involving amounts less than $250,000 (excluding attorneys' fees and interest) will be governed by the latest version of the JAMS Simplified Arbitration Rules and Procedures (available at http://www.jamsadr.com/rules-streamlined-arbitration/); all other claims will be governed by the latest version of the JAMS Comprehensive Arbitration Rules and Procedures (available at http://www.jamsadr.com/rules-comprehensive-arbitration/). JAMS rules are also available at www.jamsadr.com or by calling 800-352-5267. If JAMS is unable to conduct arbitration, the parties will choose another arbitration body. If your claim is $10,000 or less, we agree that you may choose arbitration, conducted in accordance with the JAMS rules, by telephone, based solely on written materials, or through an in-person hearing. ALDI has the right to make a settlement offer during the arbitration proceedings. If the settlement offer is not accepted and the arbitral award is not more favorable than the unaccepted offer, you will bear all costs incurred by ALDI following the submission of the settlement offer, to the extent permitted by applicable law. Any award rendered by the arbitrator is enforceable in any court of competent jurisdiction.

Costs. If the arbitrator determines that you are unable to pay JAMS's filing fees, administrative fees, hearing fees, and/or other costs, and you are not eligible for a cost waiver from JAMS, ALDI will pay these costs on your behalf. If the arbitrator determines that the claim is unjustifiable, you agree to pay ALDI's attorneys' fees and litigation costs in the arbitration, to the extent permitted by applicable law.

Arbitrator's Jurisdiction. The arbitrator, and not any federal, state, or district court or agency, has exclusive jurisdiction to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including, but not limited to, any claim that this Arbitration Agreement is wholly or partially invalid or voidable. The arbitration will determine the rights and obligations (if any) between you and ALDI. The arbitration proceedings may not be consolidated with any other matter, case, or party. The arbitrator has the power to make a motion that is decisive in all or part of any claim. The arbitrator has the power to award monetary damages and, in accordance with applicable law, the rules of the arbitral institution, and these Terms of Use (including the Arbitration Agreement), any non-monetary relief or compensation available to an individual. The arbitrator will issue a written award and statement of decision stating the underlying facts and conclusions upon which the award is based, including the method of calculation for any damages. The arbitrator has the same powers as a court judge and may make an award on a case-by-case basis. The arbitral award is final and binding on both you and us.

Waste of Jury Trial. You and ALDI hereby waive any constitutional and legal right to bring an action in court and be tried by a judge or jury. You and ALDI choose that all claims and disputes be settled by arbitration in accordance with this Arbitration Agreement, except as otherwise provided in Section (a) of the Arbitration Agreement above. The arbitrator may, on a case-by-case basis, award the same damages and relief as a court, and must comply with this Arbitration Agreement as a court. However, there is no judge or jury in arbitration, and the court's review of the arbitral award is very limited.

Waste of Class Action or Consolidation. Except for batch arbitration (as defined below), all claims and disputes within the scope of this Arbitration Agreement shall be arbitrated on an individual basis and not in the form of a class action; individual relief is available only; claims by multiple customers or users shall not be consolidated or arbitrated with claims by other customers or users. If this clause is held to be invalid or unenforceable, neither you nor we shall have the right to arbitrate, and the claims and disputes shall be submitted to the courts for resolution in accordance with the provisions of the “Jurisdiction and Applicable Law” section below.

You and ALDI agree that if fifty (50) or more similar arbitral claims are filed against ALDI within approximately 60 days (or, in other cases, within a similar timeframe), regardless of the state in which such claims are filed, JAMS will consolidate all such similar arbitral claims into a single, consolidated arbitration (with a uniform set of fees, procedural schedules, and, where necessary, hearings) and arbitrate with a single arbitrator, in accordance with the provisions of the other sections of this section. However, if the arbitrator considers it impractical or unfair to consolidate all such claims into a single arbitration, the arbitrator may divide the claims into groups of not less than fifty (50) items, and add another group as needed (or as the arbitrator considers feasible, fair and most in line with the spirit of this clause), and then consolidate each group of claims into a single arbitration. (Or, in a “bulk arbitration” manner). You and ALDI agree to: (1) cooperate with JAMS in good faith to facilitate dispute resolution through bulk arbitration; and (2) that the claims are of “similar nature” if they arise from the same event, agreement or factual situation and raise the same or similar legal issues and seek the same or similar remedies. For the applicability of this bulk arbitration procedure, any dispute shall be resolved through a single consolidated arbitration procedure involving all affected parties and decided by a single arbitrator in accordance with the provisions of this section. This bulk arbitration clause shall not in any event be construed as authorizing any type of class arbitration or action, or any action or arbitration involving common or consolidated claims, unless otherwise expressly provided in this section.

30-day withdrawal right. You have the right to opt out of this arbitration agreement. Please notify us in writing within 30 days of your first access to the service. Your notice must include your name and address, username (if any), the email address you used to create your account (if any), and a clear statement that you wish to withdraw from this Arbitration Agreement. If you choose to withdraw from this Arbitration Agreement, all other parts of these Terms of Use will continue to apply to you. Withdrawal from this Arbitration Agreement will not affect any other arbitration agreements you currently have with us or may have with us in the future.

Severability. If any part of this Arbitration Agreement is held to be invalid or unenforceable by law, that part shall be void and severable, while the remaining parts of this Arbitration Agreement shall continue to be in full force and effect.

Permanent Validity of the Agreement. This Arbitration Agreement shall remain in effect after your termination of your partnership with ALDI.

Modification. Notwithstanding anything to the contrary in these Terms of Use, we agree that if ALDI makes any material changes to this Arbitration Agreement in the future, such changes will not apply to any personal claims to which you have notified ALDI.

26. Jurisdiction and Applicable Law

If any claim, dispute, or controversy relating to ALDI or our Services is not subject to arbitration under applicable law or otherwise, you and ALDI agree that any claim or controversy relating to ALDI shall be subject to the exclusive jurisdiction of the courts of Illinois and governed by the laws of Illinois, without regard to conflict of laws principles. The exclusive jurisdiction for any dispute arising out of or relating to this Agreement shall be the court of Cook County, Illinois or the United States District Court for the Northern District of Illinois, and the dispute shall be adjudicated in accordance with the laws of Illinois. If you are a consumer in the European Economic Area (EEA), this Arbitration Agreement shall not apply to you. It is your responsibility to understand and comply with the laws of your jurisdiction.

27. Miscellaneous

These Terms of Use, along with any policies or operating rules posted on the Service (excluding terms and other conditions offered by the owners or operators of third-party providers or social media channels as described in Section 1), constitute the entire agreement and understanding between you and ALDI regarding the subject matter, and supersede any prior oral or written communications and proposals between the parties concerning the subject matter. The printed version of these Terms of Use shall be admissible and bound by the same conditions as other commercial documents and records generated and preserved in print in connection with or in connection with the use of the Service in any judicial or administrative proceedings based on or relating to this Terms of Use. If any provision of these Terms of Use is held to be illegal, invalid, overly broad, unfair, or unenforceable, the remaining provisions of these Terms of Use shall remain in full force and effect. ALDI’s failure to take action regarding a breach of these Terms of Use by you or any other party shall not constitute a waiver of such breach, nor limit ALDI’s rights in respect of such breach or any subsequent breach. Any waiver by ALDI regarding these Terms of Use shall not be effective unless signed in writing by a duly authorized person of ALDI. No conduct or business practice between the parties shall modify these Terms of Use. ALDI may assign its rights and obligations under these Terms of Use to any party at any time without prior notice to you. You may not assign all or part of these Terms of Use without ALDI's prior written consent. Section headings are for convenience only and have no legal or contractual effect. You agree that these Terms of Use shall not be interpreted against ALDI on the grounds that they were drafted by ALDI. Any modification, alteration, action, or delay to these Terms of Use shall not be binding unless signed by ALDI in writing.
